Terms and Conditions

These terms ("Terms") govern your use of the Nowgray website, products, and services provided by Nowgray IT Services Pvt. Ltd. ("Nowgray"). By using our website or services, you agree to these Terms.

1. Services we provide

Nowgray provides (a) software products available on a subscription basis (e.g. CA OMS, SalesCore, InvoiceHub, Hospital Management, Attendance), and (b) engineering services delivered on a project or retainer basis.

2. Accounts

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorised access.

3. Fees and payment

• Products: billed in advance, monthly or annually, as agreed at sign-up.
• Engineering retainers: billed monthly in advance for the agreed scope of dedicated capacity.
• Custom projects: billed against a written Statement of Work — typically 30% at kickoff, 40% at mid-milestone, 30% on delivery.
• Late payments may attract a finance charge as permitted by law and may pause service until cleared.
• All fees exclude applicable taxes (GST etc.), which are charged additionally.

4. Intellectual property

For products: we retain ownership of the product software; you receive a license to use it during your subscription.
For custom projects: unless otherwise agreed, you receive full ownership of deliverables and source code on final payment. We retain rights to our pre-existing tools, frameworks, and libraries.

5. Acceptable use

You agree not to:

• Use the services for unlawful purposes or to violate any rights.
• Attempt to gain unauthorised access to systems or data.
• Reverse-engineer, copy, or resell our products without permission.
• Use the services to send spam, malware, or abusive content.

6. Warranties and disclaimer

We provide our products and services with reasonable skill and care. To the extent permitted by law, services are provided "as is" without other express or implied warranties (including merchantability or fitness for a particular purpose).

7. Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, incidental, consequential, or punitive damages. Our total liability for any claim arising under these Terms is limited to the fees you paid us in the 12 months preceding the claim.

8. Termination

Either party may terminate a subscription at the end of the then-current billing period. For custom projects, termination terms are set in the Statement of Work. Material breach allows the other party to terminate after written notice and a 30-day cure period.

9. Governing law

These Terms are governed by the laws of India. Courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction, except where law mandates otherwise.

10. Changes

We may update these Terms. Material changes will be communicated with reasonable notice. Continued use after changes take effect constitutes acceptance.
